Terms of Service
The terms that govern your use of DigitGlance products and services.
1. Acceptance of terms
These Terms of Service govern your use of DigitGlance products, websites, dashboards, portals, and related services. By accessing or using DigitGlance, you agree to these Terms. If you do not agree, do not use the services.
2. About DigitGlance
DigitGlance is a trading name of Digitglance Reliance, a CAC-registered business based at 28 Micheal Adekoya Street, Ilupeju, Lagos State, Nigeria. We provide software tools for invoicing, accounting, point of sale, school management, business automation, and related services. References to "we", "us", or "DigitGlance" in these Terms refer to Digitglance Reliance.
3. Account registration
You must provide accurate and complete information when creating an account. You are responsible for:
- keeping your login details secure
- all activity that occurs under your account
- notifying us immediately at support@digitglance.com if you suspect unauthorised access
- ensuring your team members and users follow these Terms
4. Eligibility
You must be at least 18 years old to use our services. By registering an account, you confirm that you are 18 or older and have the legal authority to enter into this agreement. If you are registering on behalf of a business, you confirm you have the authority to bind that business to these Terms.
5. Permitted use
You may use DigitGlance only for lawful business purposes and in line with these Terms and our Acceptable Use Policy. You must not:
- misuse the platform or interfere with system security
- attempt unauthorised access or access other users' data
- create fraudulent invoices or misrepresent transactions
- copy, resell, reverse engineer, or tamper with the software except where law allows
- upload unlawful, false, or harmful content
- use the services to commit fraud or violate any Nigerian law or applicable regulation
We reserve the right to suspend or terminate accounts that violate these Terms.
6. Subscription plans and billing
Prices, plan limits, and billing periods are shown on the website or invoice page. DigitGlance Invoice is available on Free, Starter at NGN 5,000 per month, and Pro at NGN 12,000 per month, with POS and other products priced as shown on their pricing pages. By subscribing, you agree to:
- pay the stated fees
- pay taxes where applicable
- authorise recurring charges to your payment method through Paystack
- renew automatically each billing period unless cancelled
- accept price changes announced with at least 30 days notice to active subscribers
If a payment fails or is reversed, access may be suspended until the account becomes current.
7. Free plans and trials
Free plans or trials may have limits on users, invoices, storage, features, or support. We may change or end a free plan or trial with notice where required.
8. Refunds and cancellations
Refunds and cancellation rules are stated in our Refund and Cancellation Policy. Setup fees, custom work, migration work, and consumed subscription periods may be non refundable unless required by law.
9. Customer data
You own the business data you upload to DigitGlance, including your invoices, customer records, and financial information. We do not claim ownership of your data. You grant us a limited licence to host, process, back up, transmit, and display that data solely to provide the services. We will not access your data except where necessary to provide support or resolve technical issues, and only with your consent unless required by law. Where we process personal data on your behalf, our Data Processing Agreement applies.
10. Product specific responsibilities
For accounting and invoicing products, you remain responsible for the accuracy of entries, tax treatment, and filings. For POS products, you remain responsible for stock counts, pricing, branch setup, and cashier controls, as detailed in our POS Addendum. For School Manager, you remain responsible for student records, attendance inputs, results, and authorisations, as detailed in our School Manager Addendum. For all products, you remain responsible for reviewing reports before relying on them.
11. Service availability
We aim to provide reliable access to DigitGlance, but we do not guarantee uninterrupted service or 100% uptime. We may perform maintenance that temporarily affects availability, and we will provide advance notice where possible. We are not liable for losses arising from service interruptions beyond our control, including hosting provider outages, network failures, or force majeure events.
12. Support
Support hours, response times, and channels may vary by plan. Priority support may be reserved for higher tier plans, and enterprise customers may be covered by a separate Service Level Agreement.
13. Intellectual property
All software, designs, content, templates, and brand elements of DigitGlance are the intellectual property of Digitglance Reliance or its licensors. You may not copy, reproduce, distribute, or create derivative works from our platform without written permission. The DigitGlance name, logo, and brand identity are proprietary and may not be used without authorisation.
14. Third party services
Our platform integrates with third party services including Paystack for payments, Supabase for data storage, Vercel for hosting, and Resend for email delivery. Your use of these integrations is also subject to their respective terms of service. We are not responsible for the actions, data handling, or availability of third party services.
15. Suspension and termination
We may suspend or terminate access if you breach these Terms, payment is overdue, we detect fraud, abuse, or security risk, or where required by law. You may stop using the services at any time, and you may cancel your subscription by contacting us at support@digitglance.com. On termination, you may request an export of your data within 30 days before it is deleted. Some obligations survive termination.
16. Limitation of liability
To the fullest extent permitted by Nigerian law, DigitGlance and Digitglance Reliance are not liable for any indirect, incidental, special, or consequential damages arising from your use of our services, including loss of data, loss of profits, or business interruption. We are not responsible for business losses caused by user error, incorrect data entry, third party systems, or internet failure. Our total liability for any claim arising from use of our services is limited to the amount you paid us in the three months preceding the claim.
17. Indemnity
You agree to protect DigitGlance against claims arising from your misuse of the platform, unlawful content, or violation of these Terms.
18. Accounting and tax disclaimer
DigitGlance products are software tools for managing invoices, financial records, and business operations. They do not constitute accounting advice, tax advice, or professional financial services. The VAT calculations and reports generated by the software are for informational purposes, and you remain responsible for ensuring your tax filings and compliance obligations are met. For professional accounting advice, engage a qualified accountant or contact us about our accounting services.
19. Changes to the service and these terms
We may add, remove, or improve features, and we may adjust pricing, limits, or plan structures with notice where required. We may also update these Terms from time to time. When we do, we will update the effective date at the top of this page and notify active subscribers by email with at least 14 days notice before changes take effect. Continued use of our services after the effective date constitutes your acceptance of the updated Terms.
20. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of our services shall be subject to the jurisdiction of the courts of Lagos State, Nigeria. We encourage you to contact us first to resolve any disputes informally before pursuing legal action.
